1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the ZFM Solutions platform, website at zfm.solutions, and related services (collectively, the "Service") operated by ZFM Solutions FZCO ("ZFM", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility and account

You must be at least 18 years old and have the legal authority to enter into binding agreements to use the Service. By creating an account, you represent that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Service description

ZFM provides a software-as-a-service platform for workflow automation, application integration, and operational orchestration. Features and capabilities may change from time to time. We will provide reasonable notice of any material changes that adversely affect existing customers.

6. Customer data and content

You retain ownership of all data and content you submit to the Service ("Customer Data"). You grant ZFM a limited, worldwide, royalty-free licence to host, process, transmit and display Customer Data solely as necessary to provide the Service. We do not access Customer Data except as needed for service operation, support, security, or as required by law.

7. Intellectual property

The Service, including all software, designs, trademarks and content other than Customer Data, is the property of ZFM Solutions FZCO. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

8. Confidentiality

Each party agrees to maintain the confidentiality of non-public information disclosed by the other party in connection with the Service, except as required by law or with prior written consent. This obligation survives termination of these Terms.

9. Service availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted operation. Scheduled maintenance will be announced in advance where possible. Service-level agreements applicable to specific subscription plans, if any, are published separately.

10. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, ZFM disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, ZFM's aggregate liability for any claim arising out of or relating to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim. ZFM shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost data or loss of business opportunity.

12. Indemnification

You agree to indemnify and hold harmless ZFM, its affiliates and personnel from any claims arising out of your use of the Service in violation of these Terms or applicable law, including any claim that your Customer Data or your use of the Service infringes a third-party right.

13. Termination

You may terminate your account at any time. We may suspend or terminate your account for material breach of these Terms, non-payment, or if required by law. Upon termination, your access to the Service ceases. You can export your Customer Data for 30 days following termination, after which it may be deleted in accordance with our data retention policies.

14. Modifications

We may modify these Terms from time to time. Material changes will be notified by email or platform announcement at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

15. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or relating to these Terms or the Service shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules, conducted in English with a single arbitrator seated in Dubai. Notwithstanding the foregoing, either party may seek interim or injunctive relief from any court of competent jurisdiction.

16. General provisions

These Terms, together with our Privacy Policy and any applicable Order Form, constitute the entire agreement between you and ZFM regarding the Service. If any provision is found unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent.
